By filling out the signup form you acknowledge that you have read the terms and
conditions below for the NaturalGrocers.com Affiliate Program,
understand, and agree with them. 1. Joining the Program
This agreement describes the terms and conditions for participation in the NaturalGrocers.com affiliate Program (hereafter referred to as the affiliate Program). The terms "affiliate," "you," and "your" are referring to you, the applicant. "We" and "our" refer to NaturalGrocers.com. We are independent parties and this agreement will not form any business partnership.
By filling out the signup form you will automatically become an
affiliate and are bound by the terms of this agreement.
This agreement begins upon our acceptance of your affiliate application, and will end when terminated by either party. Termination may happen at any time, with or without cause, by giving the other party written notice of termination.
Prospective affiliates should submit an online application at NaturalGrocers.com.
NaturalGrocers.com in no way participates in mass unsolicited e-mailing, and all affiliates are expected to adhere to this policy as well. Violation of this policy will result in the termination of this contract and immediate dismissal from the affiliate Program.
2. Payment Schedule
Accepted participants in the affiliate Program will receive a 15% sales commission in the form of store credit (valid at NaturalGrocers.com only) based upon completed and legitimate sales orders referred through your affiliate site. Credited orders must have been generated in compliance with this affiliate Agreement, as well as any and all provided instructions for participation.
3. Revocation of Affiliate Status
Your affiliate application and status in the program may be suspended or terminated
for any of the following reasons:
Inappropriate advertisements (False claims, misleading hyperlinks)
Spamming (mass email, mass newsgroup posting, etc.)
Advertising on sites containing/promoting illegal activities
Violation of intellectual property rights.
NaturalGrocers.com reserves the right not to include any site into the our affiliate program at our sole discretion based on site content, anticipated usage levels, business relationships, or any other factors deemed appropriate in deciding whether or not we want our brand and products promoted with a prospective affiliate. Websites that do not qualify for our affiliate program include sites that promote violence or discord, sexually explicit materials, discrimination, violations of intellectual property rights, or other illegal activities.
Affiliate further agrees and warrants that it will comply with all local, state and
federal laws (including, but not limited to, the "CAN-SPAM" Act, effective January 1, 2004)
regarding the sending of e-mails.
4. Affiliate Links
You may use graphic and text links both on your Web Site and in emails. The site
may also be advertised "offline" in classified ads, magazines, and newpapers. You
may use the graphics and text provided.
5. Affiliate Tracking
When a visitor clicks on your affiliate link or banner and visits our site, any purchases made during that visit will be credited as an affiliate sale.
If a visitor does not purchase at that time, but returns to our site later to place an order you may also receive credit depending upon that user's browser settings for setting cookies.
6. Terms of the agreement
These terms will begin upon your signup with the affiliate program and will end
when your affiliate account is terminated. The terms of
this agreement may be modified by us at any time. If any modification to the terms
is unnacceptable to you, your only choice is to terminate your affiliate account.
Your continuing participation in the program will constitute your acceptance of
any change.
7. Liability
Under no circumstances shall we be liable to the Affiliate for any special, consequential, indirect, or incidental damages of any kind in connection with this Agreement or Affiliate Program. In no event whatsoever shall our liability to Affiliate for any other reason whatsoever exceed in the aggregate the sum of the total earned credit or referral fees payable to Affiliate under this Agreement.
We will not be liable for indirect or accidental damages (loss of
revenue, commissions) due to affiliate tracking failures, loss of database files,
and any results of intents of harm to the program or our website. We do not make
any expressed or implied warranties with respect to the affiliate program and/or
products sold at this site. We make no claim that the operation of the affiliate program
and our website will be error-free and we will not be liable for any interruptions or errors.
Affiliate shall indemnify and hold NaturalGrocers.com harmless from any and all legal
actions, damages or liabilities incurred from the day-to-day operations of affiliate. Under
no circumstances will NaturalGrocers.com be liable whether in tort, contract or otherwise
for indirect, incidental, consequential, special or exemplary damages (including but not limited
to damages for any loss of revenue, profits, business interruption, loss of business information
or data, loss of goodwill, work stoppage, hardware or software failure, or other pecuniary loss)
arising from or relating to any provision of this Agreement or the program. Without limiting the
foregoing, NaturalGrocers.com aggregate liability arising with respect to this Agreement will
not exceed the total fees paid or payable to affiliate under this agreement.

will own all rights, title and interest in and to all information that is created or collected in
the operation of the NaturalGrocers.com Web site and reserves the right to amend or terminate
this Agreement at any time, with or without notice to affiliate.
