2.         Timing:  The Contest period (the “Contest Period”) begins March 23, 2024, at 11:00 a.m. local time at each participating store, and ends (i) when all prizes have been awarded at such store.

3.         Contest Prizes: At each participating Sponsor store, there will be one (1) grand prize consisting of one (1) $50 Natural Grocers Gift Card, and eleven (11) runner-up prizes each consisting of one (1) $10 Natural Grocers Gift Card (the grand prizes and runner up prizes, each hereafter a “prize”). Winners are responsible for all taxes and fees associated with prize receipt and/or use. The odds of winning a prize depend on factors including elements of skill, the number of entrants, and the number of large, gold Easter Eggs remaining at the time of entry, among other factors.

4.         How to Enter:  At each participating Sponsor store during the Contest Period, twelve (12) total large, gold Easter eggs (each, an “Easter Egg”) will be placed in various locations within the public sales area of such store. Each Easter Egg will contain a note indicating whether the Easter Egg is redeemable for a grand prize or a runner up prize. Entrants can enter the Contest by searching for an Easter Egg during the Contest Period. If an entrant finds an Easter Egg, they can redeem the prize indicated within the Easter Egg by presenting the Easter Egg to Sponsor’s store personnel during the Contest Period. There is a maximum of one (1) total prize redemption per entrant, regardless of prize amount. All prizes must be redeemed, if at all, by the end of the Contest Period. Children under the age of 18 are permitted to assist an eligible entrant in locating an Easter Egg, but only eligible entrants, 18 years of age or older, are eligible to receive a prize. ANY ENTRANT ENGAGING IN UNRULY, UNSAFE, OR DISRUPTIVE ACTIVITY WILL, AT SPONSOR’S SOLE DISCRETION, BE IMMEDIATELY DISQUALIFIED FROM THE CONTEST, AND MAY BE ASKED TO LEAVE THE STORE.

5.         Selection of Contest Prize Winner:  Prizes will be awarded at each participating store during the Contest Period as the Easter Eggs are found and redeemed by eligible entrants as set forth in Section 4 above. At the time of prize redemption, each prize winner must provide their name and address to Sponsor store personnel. If any gold Easter Eggs are not found and/or presented for redemption during the Contest Period, the corresponding prize(s) will not be awarded. ALL POTENTIAL CONTEST WINNERS ARE SUBJECT TO VERIFICATION BY SPONSOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE CONTEST.  AN ENTRANT IS NOT A WINNER OF ANY PRIZE, EVEN IF THE CONTEST SHOULD SO INDICATE, UNLESS AND UNTIL ENTRANT’S ELIGIBILITY HAS BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE.  It is the entrant’s responsibility to ensure that he/she has complied with the conditions contained in these Official Rules.

6.         Publicity:  Except where prohibited by law, participation in the Contest constitutes a winner’s consent in perpetuity to Sponsor’s and its agents’ use of the winner’s name, likeness, photograph, voice, opinions, statements and/or hometown and state for promotional purposes in any media, worldwide, without further payment or consideration.

7.         General Conditions:  Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Contest; to be acting in violation of these Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Contest, or to annoy, abuse, threaten or harass any other person. Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. Subject to any governmental approval which may be required, Sponsor reserves the right, without prior notice and at any time, to terminate the Contest, in whole or in part, or modify or suspend the Contest in any way, if it determines, in its sole discretion, that the Contest is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions have destroyed or severely undermined the integrity and/or feasibility of the Contest. In the event Sponsor is prevented from continuing with the Contest as contemplated herein by any event beyond its control, or any federal state or local government law, order, or regulation, or order of any court or jurisdiction, Sponsor shall have the right to modify, extend, suspend or terminate the Contest.

8.         Release/Limitations of Liability:  Each entrant agrees that Sponsor, its parent company, subsidiaries, and all of their respective directors, officers, employees, representatives and agents (collectively, the “Promotion Entities”): (i) shall not be responsible or liable for any losses, damages or injuries of any kind resulting from entrant’s participation in the Contest or any Contest-related activity, or from entrant’s acceptance, receipt, possession and/or use or misuse of any prize or participation in any prize-related activity and (ii) have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize’s quality or fitness for a particular purpose.  By participating in the Contest, each entrant agrees to release and hold harmless the Promotion Entities from and against any claim or cause of action, including, but not limited to, personal injury, death or damage to or loss of property, including direct, indirect, incidental, consequential or punitive damages arising, in whole or in part, out of such entrant’s participation in the Contest or such entrant’s receipt, use or misuse of any prize. Sponsor reserves the right in its sole discretion to cancel, modify or suspend this Contest at any time, with or without notice, for any reason or no reason, and Sponsor disclaims all liability in connection with such cancellation, modification or suspension.

9.         Disputes:  Except where prohibited by law, each entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with the Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate state or federal courts in Denver, Colorado and hereby submit to the jurisdiction of such courts; (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Contest, but in no event attorneys’ fees; and (iii) under no circumstances will any entrant be permitted to obtain awards for, and each entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.  All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of Colorado, without giving effect to any choice of law or conflict of law rules (whether of the State of Colorado or any other jurisdiction).

10.       Precedence. In the event of any conflict with any Contest details contained in these Official Rules and Contest details contained in other Contest materials (including, without limitation, any point of sale, online or print advertising), the details of the Contest as set forth in these Official Rules shall prevail.

4.         Sweepstakes Prizes:  Sweepstakes prizes will be awarded as follows:

• Grand Prize. One (1) entrant across all of Sponsor’s participating stores will receive a grand prize consisting of, at Sponsor’s sole and absolute discretion, either (i) hotel accommodations for two guests at Loew’s Ventana Canyon Resort in Tucson, Arizona, for three (3) nights, including domestic air travel to Tucson and resort credits for the stay (maximum total value of such package: $2,500.00); or (ii) $2,500.00 in cash (such prize, the “Grand Prize”). 

• Runner Up Prizes. At each participating Sponsor store, one (1) entrant will receive a prize consisting of one (1) $110 Natural Grocers gift card (equal to the price of twelve (12) bags of Natural Grocers Brand Organic Coffee, plus tax) (each such prize, a “Runner Up Prize”).  Runner Up Prizes will be delivered approximately six (6) to eight (8) weeks following the conclusion of the Sweepstakes Period.

With respect to the Runner Up Prizes, Sponsor will randomly select one (1) Runner Up Prize winner from all eligible entries at each participating Sponsor store within a reasonable period following the conclusion of the Sweepstakes Period. As a condition to receiving the Grand Prize, the potential winner will be required to complete, sign and return, within seven (7) days of the date he/she is notified by Sponsor, an IRS Form W-9 (including the prize winner’s social security number, which will be used only for the purpose of reporting the winner’s prize earnings to the Internal Revenue Service as required by law). If a potential Grand Prize winner fails to complete, sign and return the foregoing within such seven (7) day period, he/she will forfeit the Grand Prize and an alternate winner will be selected at random.  Entrants are responsible for providing a valid mailing address to Sponsor. To be valid, an address must be in an Eligible State and must accept delivery by United States Postal Service or overnight service such as UPS. If a Sweepstakes Prize is rejected or returned following attempted delivery, Sponsor may, in its sole and absolute discretion, void such Sweepstakes Prize winner’s selection and select a new prize winner. 4.         Sweepstakes Prizes: Three prizes will be awarded:

• One (1) entrant across all of Sponsor’s participating Texas stores will receive a prize consisting of one (1) Aventon Pace 500 e-bike (estimated retail value $1,599.00) (the “E-Bike Prize”);
• One (1) entrant across all of Sponsor’s participating Texas stores will receive a prize consisting of one (1) $500 Natural Grocers Gift Card (the “Gift Card Prize”); and
• One (1) entrant across all of Sponsor’s participating Texas stores will receive a prize consisting of one (1) Yeti cooler (estimated retail value $400.00) (the “Cooler Prize”)

With respect to a potential winner of the e-Bike prize, within seven (7) days following the date a potential winner is notified, he/she will be required to complete, sign and return (i) a Waiver and Release of Liability (a “Waiver and Release”) provided by Sponsor that discharges Sponsor from any liabilities and causes of action arising from or relating to such individual’s ownership and/or use of the E-Bike Prize. IN ADDITION, the potential winner of the E-Bike Prize will also need to complete, sign and return to Sponsor an IRS Form W-9 (including the prize winner’s social security number, which will be used only for the purpose of reporting the winner’s prize earnings to the Internal Revenue Service as required by law). If a potential Sweepstakes prize winner fails to complete, sign and return the Waiver and Release or IRS Form W-9 within such seven (7) day period, his/her prize will be forfeited and an alternate potential prize winner will be selected at random.

Sweepstakes Prizes will be shipped to the applicable prize winner’s valid mailing address by Sponsor within thirty (30) days after Sponsor’s selection of such prize winner and Sponsor’s receipt of all documents and other information required by these Official Rules. To be valid, a prize winner’s address must be located in an Eligible State and must accept package deliveries by USPS, UPS and Federal Express. If the Sweepstakes prize is rejected or returned following attempted delivery, Sponsor may, in its sole and absolute discretion, void such prize winner’s selection and select a new prize winner. A prize winner is responsible for providing a valid mailing address to Sponsor.

4.         Contest Prize: One (1) entrant across all Sponsor’s participating stores will receive a prize consisting of one (1) $500 Natural Grocers Gift Card (the “Contest Prize” or the “prize”).  The Contest Prize is non-transferable and no substitutions will be made, except as provided at Sponsor’s sole discretion. The Contest Prize winner is responsible for all taxes and fees associated with receipt and/or use.

3.         How to Enter:  Entrants will be able to enter the Sweepstakes by submitting an entry form at a participating Sponsor store during the Sweepstakes Period.  There is a maximum of one (1) entry per person. 

4.         Sweepstakes Prizes:  Sweepstakes prizes will be awarded in the following categories:

• Grand Prize. One (1) total entrant across all of Sponsor’s participating stores will receive a prize consisting of (i) one (1) Natural Grocers gift card that will be autoloaded with $80.00 each week for 52 weeks, and (ii) $1,040.00 in cash (collectively, the “Grand Prize”). 5.         Selection of Sweepstakes Prize Winners:  Within a reasonable period following the conclusion of the Sweepstakes Period, Sponsor will randomly select the one (1) winner of the Grand Prize and the winners of the Runner Up Prizes from all eligible entries at participating Sponsor stores.  As a condition to receiving the Grand Prize, the potential winner will be required to complete, sign and return, within seven (7) days of the date he/she is notified, an IRS Form W-9 (including the prize winner’s social security number, which will be used only for the purpose of reporting the winner’s prize earnings to the Internal Revenue Service as required by law). If a potential Grand Prize winner fails to complete, sign and return the foregoing within such seven (7) day period, he/she will forfeit the Grand Prize and an alternate winner will be selected at random.  The Grand Prize will be mailed to the Grand Prize Winner’s valid mailing address within a reasonable period following such winner’s selection, verification by Sponsor, and Sponsor’s receipt of all documents required by these rules. To be valid, an address must be in an Eligible State and must receive deliveries by UPS and USPS; the failure of a potential Grand Prize winner to provide a valid mailing address, or the rejection of attempted delivery at the provided address, may in Sponsor’s sole discretion result in a forfeiture of the prize and a selection of a new prize winner by Sponsor. 5.         Selection of Sweepstakes Prize Winners:  Sponsor will randomly select the potential Sweepstakes prize winners from all eligible entries within a reasonable period following the end of the Sweepstakes Period. If a potential Sweepstakes prize winner fails to respond to Sponsor within seven (7) days following Sponsor’s attempt to notify him/her that he/she is a potential prize winner, his/her prize will be forfeited and an alternate potential prize winner will be selected at random. ALL POTENTIAL SWEEPSTAKES WINNERS ARE SUBJECT TO VERIFICATION BY SPONSOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE SWEEPSTAKES.  AN ENTRANT IS NOT A WINNER OF ANY PRIZE, EVEN IF THE SWEEPSTAKES SHOULD SO INDICATE, UNLESS AND UNTIL ENTRANT’S ELIGIBILITY HAS BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE. 4.         Sweepstakes Prizes:  Sweepstakes prizes will be awarded as follows:

1. Grand Prize. If and only if an eligible entrant is (i) the 150,000^th {N}power member to download the Natural Grocers Mobile App and link it to their{N}power account, and (ii) such download and linkage occurs during the Sweepstakes Period, then such entrant will receive a grand prize consisting of one (1) Natural Grocers gift card that will be autoloaded with $50.00 each week for four (4) consecutive weeks (total value, $200.00) (the “Grand Prize”); and

4. Entrants who (a) complete steps (i)-(iii) above, (b) share the Post on their Instagram story for at least 24 hours, and (c) tag @NaturalGrocers, will receive a bonus entry to win a Sweepstakes Prize. An Entrant may enter in this manner only once during the Sweepstakes Period.
