1.         Eligibility:  The Natural Grocers March 2026 {N}power Member Shop, Solve and Win Sweepstakes (the “Sweepstakes”) is open only to legal residents of the following states who are members of the Natural Grocers {N}power customer loyalty program and are at least 18 years old at the time of entry: Arizona, Arkansas, Colorado, Idaho, Iowa, Kansas, Louisiana, Minnesota, Missouri, Montana, Nebraska, Nevada, New Mexico, North Dakota, Oklahoma, Oregon, South Dakota, Texas, Utah, Washington and Wyoming (each, an “Eligible State”). Employees of Vitamin Cottage Natural Food Markets, Inc. (“Sponsor”) and its parent, affiliates and subsidiaries, and the immediate family (spouses, parents, siblings and children) and household members of such employees, are not eligible. Subject to all applicable federal, state and local laws and regulations. Participation constitutes entrant’s full and unconditional agreement to these Official Rules and the decisions of the Sponsor, which are final and binding in all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein.

2.         Timing:  The Sweepstakes begins on March 1, 2026 and ends on March 31, 2026 the “Sweepstakes Period”).

3.         How to Enter:  To enter the Sweepstakes, an entrant must be a member of Sponsor’s {N}power customer loyalty program, which can be joined at no cost at www.naturalgrocers.com/join. The entrant must access a Shop, Solve and Win puzzle (the “Puzzle”) received by {N}power program email or through the {N}power mobile application.

Grand Prize Entry: Each Puzzle contains squares specifying an amount of money an entrant must spend on qualifying purchases, required visits or in-store shopping during the Sweepstakes Period at a participating Natural Grocers store (such individual transaction or series of transactions, each a “Qualifying Transaction”). Each Qualifying Transaction corresponds with a letter. 

If a letter corresponding to the Qualified Transaction forms part of the Puzzle, the corresponding letter(s) of the Puzzle will be revealed at the time such purchase is made, provided that entrants enter their {N}power number at check-out upon making each Qualified Transaction. Once the entrant makes Qualified Transactions corresponding to all letters of the Puzzle or otherwise solves the Puzzle by filling in all missing letters, the entrant will have completed Shop, Solve and Win in order to receive a Sweepstakes Prize (defined below).  An {N}power member may also enter by mailing a written request for the Puzzle card and hint to: {N}power rewards at 12612 W Alameda Pkwy, Lakewood, CO 80228.

Secondary Prize Entry: {N}power members will receive a Puzzle clue at the beginning of the Sweepstakes Period via email, and may submit an answer to the Puzzle during the first seven (7) days of the Sweepstakes Period at https://www.naturalgrocers.com/npower-shop-solve-win-form. Any entrant who correctly solves the Puzzle during this period will each receive a Secondary Prize. An entrant who submits a Secondary Prize Entry may also enter to win a Grand Prize by fulfilling the requirements set forth above for Grand Prize Entry.  

4.         Sweepstakes Prize:  Entrants who fulfill the Grand Prize Entry requirements set forth above to solve the Puzzle will each receive a $5 reward, redeemable at any Natural Grocers store (a “Grand Prize”); and Entrants who fulfill the Secondary Prize Entry requirements set forth above to solve the Puzzle will each receive a $2 reward (a “Secondary Prize”, and each such prize, a “Sweepstakes Prize”). Sweepstakes Prizes will not be awarded as cash, are non-transferable and no substitutions will be made, except as provided at Sponsor’s sole discretion. Limit one (1) Grand Prize and one (1) Secondary Prize per entrant.

5.         Selection of Sweepstakes Prize Winner:  The Grand Prize will be credited to the entrant’s {N}power account on April 1, 2026. The Secondary Prize will be credited to the entrant’s {N}power account on March 10, 2026. It is the entrant’s responsibility to ensure that he/she has complied with the conditions contained in these Official Rules. 

6.         Publicity:  Except where prohibited by law, participation in the Sweepstakes constitutes a winner’s consent in perpetuity to Sponsor’s and its agents’ use of the winner’s name, likeness, photograph, voice, opinions, statements and/or hometown and state for promotional purposes in any media, worldwide, without further payment or consideration.

7.         General Conditions:  Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Sweepstakes; to be acting in violation of these Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Sweepstakes, or to annoy, abuse, threaten or harass any other person. Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. Subject to any governmental approval which may be required, Sponsor reserves the right, without prior notice and at any time, to terminate the Sweepstakes, in whole or in part, or modify or suspend the Sweepstakes in any way, if it determines, in its sole discretion, that the Sweepstakes is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions have destroyed or severely undermined the integrity and/or feasibility of the Sweepstakes. In the event Sponsor is prevented from continuing with the Sweepstakes as contemplated herein by any event beyond its control, or any federal state or local government law, order, or regulation, or order of any court or jurisdiction, the Sponsor shall have the right to modify, extend, suspend or terminate the Sweepstakes.

8.         Release/Limitations of Liability:  Each entrant agrees that Sponsor, its parent company, subsidiaries, and all of their respective directors, officers, employees, representatives and agents (collectively, the “Promotion Entities”):  (i) shall not be responsible or liable for any losses, damages or injuries of any kind resulting from entrant’s participation in the Sweepstakes or any Sweepstakes-related activity, or from entrant’s acceptance, receipt, possession and/or use or misuse of any prize or participation in any prize-related activity and (ii) have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize’s quality or fitness for a particular purpose.  By winning a prize, each winner agrees to release and hold harmless the Promotion Entities from and against any claim or cause of action, including, but not limited to, personal injury, death or damage to or loss of property, including direct, indirect, incidental, consequential or punitive damages arising, in whole or in part, out of such winner’s participation in the Sweepstakes or such winner’s receipt, useor misuse of any prize. Sponsor reserves the right in its sole discretion to cancel, modify or suspend this Sweepstakes at any time, with or without notice, for any reason or no reason, and Sponsor disclaims all liability in connection with such cancellation, modification or suspension.

9.         Disputes:  Except where prohibited by law, each entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate state or federal courts in Denver, Colorado and hereby submit to the jurisdiction of such courts; (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event attorneys’ fees; and (iii) under no circumstances will any entrant be permitted to obtain awards for, and each entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.  All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Colorado, without giving effect to any choice of law or conflict of law rules (whether of the State of Colorado or any other jurisdiction).

10.       Precedence. In the event of any conflict with any Sweepstakes details contained in these Official Rules and Sweepstakes details contained in other Sweepstakes materials (including, without limitation, any point of sale, online or print advertising), the details of the Sweepstakes as set forth in these Official Rules shall prevail.

3.         How to Enter:  Entrants will be able to enter the Sweepstakes by submitting an entry form at a participating Sponsor store during the Sweepstakes Period.  There is a maximum of one (1) entry per person. 

4.         Sweepstakes Prize: One (1) total entrant across all of Sponsor’s participating stores will receive a prize consisting of, in Sponsor’s sole and absolute discretion, either: (i) one (1) Samsung® 75" Neo QLED 4K TV Flat Screen Television (approximate estimated retail value: $1,850.00), or (ii) $1,900.00, paid via check (such prize as determined by Sponsor, the “Sweepstakes Prize” or “prize”). 

The Sweepstakes Prize is non-transferable and no substitutions will be made, except as provided at Sponsor’s sole discretion. The winner is responsible for all taxes and fees associated with prize receipt and/or use. 

5.         Selection of Sweepstakes Prize Winner: Within a reasonable period following the conclusion of the Sweepstakes Period, Sponsor will randomly select the one (1) winner of the Sweepstake Prize from all eligible entries at participating Sponsor stores.  As a condition to receiving the Sweepstakes Prize, the potential winner will be required to complete, sign and return, within seven (7) days of the date he/she is notified, an IRS Form W-9 (including the prize winner’s social security number, which will be used only for the purpose of reporting the winner’s prize earnings to the Internal Revenue Service as required by law). If a potential Sweepstakes Prize winner fails to complete, sign and return the foregoing within such seven (7) day period, he/she will forfeit the Sweepstakes Prize and an alternate winner will be selected at random.  The Sweepstakes Prize will be mailed to the Sweepstakes Prize Winner’s valid mailing address within a reasonable period following such winner’s selection, verification by Sponsor, and Sponsor’s receipt of all documents required by these rules.    How to Enter:  To enter the Sweepstakes, an entrant must be a member of Sponsor’s {N}power customer loyalty program, which can be joined at no cost at www.naturalgrocers.com/join. The entrant must access a {N}power Crossword Puzzle Card received by {N}power program email or through the Natural Grocers mobile application. Each {N}power Crossword Puzzle Card contains a crossword puzzle, crossword puzzle clues, and shopping challenges associated with the clues. The answer to each crossword puzzle clue will be revealed if an entrant makes qualifying purchases, a specified number of visits in succession, or completes other in-store shopping challenges, as set forth on the card, during the Sweepstakes Period at a participating Natural Grocers store (such individual transaction or series of transactions, each a “Qualifying Transaction”). 

Each Qualifying Transaction corresponds with the answer to a puzzle clue, which will be revealed upon completion of the shopping challenge, provided that entrants enter their {N}power number at check-out upon making each Qualified Transaction. Once the entrant makes Qualified Transactions that reveal all of the answers to the crossword puzzle on the card, the entrant will have completed the {N}power Crossword Puzzle Card and will receive a {N}power Reward Prize (defined below). An {N}power member may also enter by using the crossword puzzle clues to correctly complete the {N}power Crossword Puzzle Card at the following website URL: www.naturalgrocers.com/npower-crossword (the “Alternative Method of Entry”). There is a maximum of one (1) entry per person during the Sweepstakes Period.

Sweepstakes Prize:  Entrants who solve the {N}power Crossword Puzzle by making Qualifying Transactions will each receive one (1) $5 reward, redeemable at any Natural Grocers store (each such prize, a “{N}power Reward Prize”). {N}power Reward Prizes will not be awarded as cash, are non-transferable and no substitutions will be made, except as provided at Sponsor’s sole discretion. Entrants who solve the {N}power Crossword Puzzle without making Qualifying Transactions and enter via the Alternative Method of Entry will be entered for a chance to win one (1) $100 Natural Grocers gift card (the “Alternative Prize”). Limit one (1) Sweepstakes Prize per entrant. The odds of winning the Alternative Prize by entering via the Alternative Method of Entry will depend on the total number of eligible entries received.

Selection of Sweepstakes Prize Winner:  The {N}power Reward Prize will be credited to the entrant’s {N}power account on March 2, 2026 following completion of the {N}power Crossword Puzzle card and redeemable through March 15, 2026. Within a reasonable period following the conclusion of the Sweepstakes Period, Sponsor will randomly select one (1) Alternative Prize winner from all eligible Alternative Method of Entry entrants. The selection of the Alternative Prize winner is final and binding in all matters related to the Sweepstakes. 2.         Timing:  The Contest begins on January 9, 2026 and ends on January 31, 2026 (the “Contest Period”).

3.         How to Enter:  Entrants will be able to enter the Contest by submitting an entry form at a participating Natural Grocers store during the Contest Period. The only permissible entry form is the entry form found in the print version of the January 2026 edition of Sponsor’s Health Hotline^® magazine (the “JANUARY HEALTH HOTLINE”). There is a maximum of one (1) entry per person during the Contest Period. 

4.         Contest Prize: One (1) entrant across all Sponsor’s participating stores will receive a prize consisting of one (1) $500 Natural Grocers Gift Card (the “Contest Prize” or the “prize”).  The Contest Prize is non-transferable and no substitutions will be made, except as provided at Sponsor’s sole discretion. The Contest Prize winner is responsible for all taxes and fees associated with receipt and/or use.

The odds of winning the prize depend on the total number of eligible entries received during the Contest Period. See Section 5 below for additional eligibility requirements.

5.         Selection of Contest Prize Winner:  At the end of the Contest Period, Sponsor will randomly select one (1) Contest Prize winner from all eligible entries across all participating Sponsor stores. To be eligible to win a Prize, the entry form submitted by the winner must correctly state the number of AVOCADO images appearing in the january health hotline. In the event no entry correctly states the number of avocado images appearing in the January Health Hotline, Sponsor will randomly select the prize winner from all valid entries closest to the actual number. The Contest Prize winner will be notified by telephone or email within a reasonable period following their selection by Sponsor. Within seven (7) days after such notification, the Contest Prize winner must pick up their prize at the Sponsor store at which such winner submitted their entry form, in person, during normal business hours, at a specific time to be coordinated by Sponsor and such winner. If the Contest Prize winner fails to claim their prize within such seven (7) day period, their prize will be forfeited and an alternate Contest prize winner will be selected at random. The selection of the prize winner is final and binding in all matters related to the Contest. Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. 4.         Sweepstakes Prizes:  Sweepstakes prizes will be awarded in the following categories:

• Grand Prize. One (1) total entrant across all of Sponsor’s participating stores will receive a prize consisting of (i) one (1) Natural Grocers gift card that will be autoloaded with $80.00 each week for 52 weeks, and (ii) $1,040.00 in cash (collectively, the “Grand Prize”). The total value of the Grand Prize is $5,200.00.

   

• Runner Up Prizes. One (1) entrant at each participating Sponsor store will receive a Natural Grocers Gift Card equivalent to the retail value of one set of the Foundational Five supplements (estimated retail value: $85) (the “Runner Up Prize”)

(the Grand Prize and Runner Up Prizes, hereafter collectively, a “Sweepstakes Prize” or “prize”).

5.         Selection of Sweepstakes Prize Winners:  Within a reasonable period following the conclusion of the Sweepstakes Period, Sponsor will randomly select the one (1) winner of the Grand Prize and the winners of the Runner Up Prizes from all eligible entries at participating Sponsor stores.  As a condition to receiving the Grand Prize, the potential winner will be required to complete, sign and return, within seven (7) days of the date he/she is notified, an IRS Form W-9 (including the prize winner’s social security number, which will be used only for the purpose of reporting the winner’s prize earnings to the Internal Revenue Service as required by law). If a potential Grand Prize winner fails to complete, sign and return the foregoing within such seven (7) day period, he/she will forfeit the Grand Prize and an alternate winner will be selected at random.  The Grand Prize will be mailed to the Grand Prize Winner’s valid mailing address within a reasonable period following such winner’s selection, verification by Sponsor, and Sponsor’s receipt of all documents required by these rules. To be valid, an address must be in an Eligible State and must receive deliveries by UPS and USPS; the failure of a potential Grand Prize winner to provide a valid mailing address, or the rejection of attempted delivery at the provided address, may in Sponsor’s sole discretion result in a forfeiture of the prize and a selection of a new prize winner by Sponsor. With respect to the Runner Up Prizes, Sponsor will notify the Runner Up Prize winners that their prize is available for pick up at the store at which the Prize winner submitted his/her entry. 2. {N}power members may complete and submit an entry form online at www. naturalgrocers.com/kettle-and-fire-sweepstakes during the Sweepstakes Period. Following such verification, each potential prize winner must provide a valid shipping address within an Eligible State that receives mailings by USPS and overnight courier, for prize delivery; the failure to provide such a valid mailing address, or the rejection of attempted delivery of a prize at the provided address, may in Sponsor’s sole discretion result in a forfeiture of the prize and a selection of a new winner by Sponsor.

Subject to any governmental approval which may be required, Sponsor reserves the right, without prior notice and at any time, to terminate the Sweepstakes, in whole or in part, or modify or suspend the Sweepstakes in any way, if it determines, in its sole discretion, that the Sweepstakes is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions have destroyed or severely undermined the integrity and/or feasibility of the Sweepstakes. In the event Sponsor is prevented from continuing with the Sweepstakes as contemplated herein by any event beyond its control, or any federal state or local government law, order, or regulation, or order of any court or jurisdiction, Sponsor shall have the right to modify, extend, suspend or terminate the Sweepstakes.

9.         Release/Limitations of Liability:  Each entrant agrees that Sponsor, its parent company, subsidiaries, and all of their respective directors, officers, employees, representatives and agents (collectively, the “Promotion Entities”): (i) shall not be responsible or liable for any losses, damages or injuries of any kind resulting from entrant’s participation in the Sweepstakes or any Sweepstakes-related activity, or from entrant’s acceptance, receipt, possession and/or use or misuse of any prize or participation in any prize-related activity and (ii) have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize’s quality or fitness for a particular purpose. By winning a prize, each winner agrees to release and hold harmless the Promotion Entities from and against any claim or cause of action, including, but not limited to, personal injury, death or damage to or loss of property, including direct, indirect, incidental, consequential or punitive damages arising, in whole or in part, out of such winner’s participation in the Sweepstakes or such winner’s receipt, use or misuse of any prize. Sponsor reserves the right in its sole discretion to cancel, modify or suspend this Sweepstakes at any time, with or without notice, for any reason or no reason, and Sponsor disclaims all liability in connection with such cancellation, modification or suspension.

10.       Disputes:  Except where prohibited by law, each entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate state or federal courts in Denver, Colorado and hereby submit to the jurisdiction of such courts; (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event attorneys’ fees; and (iii) under no circumstances will any entrant be permitted to obtain awards for, and each entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.  All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Colorado, without giving effect to any choice of law or conflict of law rules (whether of the State of Colorado or any other jurisdiction).

11.       Precedence. In the event of any conflict with any Sweepstakes details contained in these Official Rules and Sweepstakes details contained in other Sweepstakes materials (including, without limitation, any point of sale, online or print advertising), the details of the Sweepstakes as set forth in these Official Rules shall prevail.

12.       Winners List/Official Rules: To obtain a list of the Sweepstakes Prize winners or a copy of these Official Rules, send a self-addressed stamped envelope to Sponsor at the address provided below.  All such requests must be received within ninety (90) days after the Sweepstakes Period, or such period permitted by applicable law, if longer. Please allow up to ten (10) business days for Sponsor to process your request. Where required by law, residents may omit return postage with Official Rules requests.
